Please read the following terms and conditions carefully before selling your blood glucose test strips (referred to as the “Test Strips”) to Strip Aides Limited (stripaides.com) (referred to as “we”, “us”, or “our”). By shipping your Test Strips to Strip Aides Limited (stripaides.com), you signify your agreement with these terms and conditions. If you do not agree with these terms and conditions, do not send or ship your Test Strips to Strip Aides Limited (stripaides.com).

Eligibility

By selling your Test Strips to Strip Aides Limited (stripaides.com), you represent and warrant that you are at least 18 years old and the rightful owner of the Test Strips. You further represent and warrant that at the time you originally acquired the Test Strips, you believed in good faith that you needed the Test Strips to treat your health condition and you did not acquire them with an intent to resell them. However, you no longer need the Test Strips for your health condition or any other reason, and you are subject to no restrictions or limitations in your ability to sell your Test Strips to Strip Aides Limited (stripaides.com) or otherwise dispose of them in any way you choose. Furthermore, you did not, are not, and will not violate any applicable law or regulation in obtaining the Test Strips, nor in selling them to Strip Aides Limited (stripaides.com).

Strip Requirements

Before sending the Test Strips to Strip Aides Limited (stripaides.com), you will ensure that the Test Strips meet all of the requirements specified in these terms and conditions and any additional requirements established by Strip Aides Limited (stripaides.com) and posted on the Strip Aides Limited (stripaides.com) website. You will confirm that the Test Strips you desire to sell to Strip Aides Limited (stripaides.com) are included on the list of Test Strips that Strip Aides Limited (stripaides.com) lists as approved for purchase, which is available on our website.

Condition of Test Strips

You understand that you can only sell Test Strips to Strip Aides Limited (stripaides.com) that are original, factory sealed, undamaged, unopened, untampered, and have, as of the date they are received by Strip Aides Limited (stripaides.com), at least four (4) months until the expiration date listed on the Test Strips’ box or packaging. The Test Strips you are selling are in the original, unmodified, unopened packaging and have not been relabeled, repackaged, or otherwise tampered with by any party. To your knowledge, the Test Strips are not subject to any recall or other limitation on resale.

Safe Storage

You have reviewed the manufacturer’s specifications for safe storage of the Test Strips and confirm that at all times you have stored the Test Strips in compliance with the manufacturer’s specifications. You acknowledge that this information is publicly available on the Test Strips’ manufacturer website and that you have reviewed it prior to sending your Test Strips to Strip Aides Limited (stripaides.com).

Manufacture and Country of Origin

The Test Strips were manufactured in the United States. You understand that Strip Aides Limited (stripaides.com) does not purchase Test Strips that were manufactured by foreign manufacturers.

Prescription and Health Insurance

You confirm that the Test Strips are available for purchase over-the-counter. The Test Strips you are selling do not contain any labeling, markings, or statements indicating that a prescription or order from a physician or other licensed health care practitioner is required under federal or state law for purchase, sale, use, or distribution. In the event your health insurance paid in whole or part for your Test Strips, you have confirmed that there are no restrictions on you reselling your Test Strips or disposing of them in any way you choose.

Government Programs

You confirm that the Test Strips have never been subject to coverage by any government programs, including but not limited to Medicare, Medicaid, or any other federal, state, or local government health care programs.

Payment and Shipping

Strip Aides Limited (stripaides.com) will provide payment for the Test Strips based on the agreed-upon price, which may be subject to change at Strip Aides Limited (stripaides.com)’s sole discretion. Payment will be made by Strip Aides Limited (stripaides.com) within a reasonable time after Strip Aides Limited (stripaides.com) receives and inspects the Test Strips to ensure they meet the requirements specified in these terms and conditions. You will be responsible for shipping the Test Strips to Strip Aides Limited (stripaides.com) at your own expense, using a shipping method specified by Strip Aides Limited (stripaides.com). You agree to package the Test Strips securely to prevent damage during shipping.

Ownership and Risk of Loss

You retain ownership of the Test Strips until Strip Aides Limited (stripaides.com) receives and accepts the Test Strips. Risk of loss or damage to the Test Strips will remain with you until the Test Strips are received and accepted by Strip Aides Limited (stripaides.com). If the Test Strips are lost or damaged during shipping, you will be responsible for filing a claim with the shipping carrier.

Limitation of Liability

Strip Aides Limited (stripaides.com) shall not be liable for any damages, including but not limited to direct, indirect, incidental, consequential, or punitive damages, arising out of or related to your sale of Test Strips to Strip Aides Limited (stripaides.com), including but not limited to any damages related to the condition, use, or resale of the Test Strips. Strip Aides Limited (stripaides.com)’s total liability to you for any claim arising out of or related to your sale of Test Strips to Strip Aides Limited (stripaides.com) shall not exceed the amount paid by Strip Aides Limited (stripaides.com) to you for the Test Strips.

Indemnification

You agree to indemnify, defend, and hold harmless Strip Aides Limited (stripaides.com), its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to your sale of Test Strips to Strip Aides Limited (stripaides.com), including but not limited to any claims related to the condition, use, or resale of the Test Strips, or any breach of these terms and conditions.

Termination

Strip Aides Limited (stripaides.com) reserves the right to terminate or suspend your ability to sell Test Strips to Strip Aides Limited (stripaides.com) at any time for any reason, including but not limited to a breach of these terms and conditions or violation of any applicable law or regulation.

Governing Law and Jurisdiction

These terms and conditions shall be governed by and construed in accordance with the laws of USA/Illinois, without regard to its conflicts of laws principles. Any dispute arising out of or related to these terms and conditions shall be resolved exclusively in the courts of USA/Illinois.

Entire Agreement

These terms and conditions constitute the entire agreement between you and Strip Aides Limited (stripaides.com) with respect to the sale of Test Strips and supersede all prior and contemporaneous agreements and understandings, whether oral or written, relating to the subject matter hereof.

Modification

Strip Aides Limited (stripaides.com) reserves the right to modify these terms and conditions at any time without prior notice. Any modifications to these terms and conditions will be effective upon posting on the Strip Aides Limited (stripaides.com) website. Your continued sale of Test Strips to Strip Aides Limited (stripaides.com) after any modifications to these terms and conditions will constitute your acceptance of such modifications.

Severability

If any provision of these terms and conditions is found to be invalid, illegal, or unenforceable, the remaining provisions shall not be affected and shall continue in full force and effect.

Waiver
